Comprehensive legal advice to the selling shareholders in the sale of 100% of the shares Avista Colombia S.A.S. BIC to Estrategias Cibest S.A.S., a company within Grupo Cibest, the holding company of the Bancolombia Group. The mandate covered the full transaction lifecycle, including assisting the selling shareholders throughout the buyer’s legal due diligence process and advising on the structuring, negotiation, signing of the transactions documents and closing of the transaction. The deal also involved the satisfaction of several conditions precedent, including the filing of the simplified merger control notice with the Colombian Superintendence of Industry and Commerce (SIC), as well as the coordination of multiple corporate and contractual workstreams.

Duppla, a Colombian startup specialising in alternative financing for home purchases, closed a new venture capital investment round of approximately US$60 million in debt and equity. The round was led by a Patria Investments fund and joined by Skandia Planeación Financiera, Cometa, Grupo Pegasus, Attom, Nazca and other national and international investors. Our engagement consisted of acting as led advisor for Duppla on the transaction, including the negotiation with the multiple participating investors and the drafting and negotiation of the transaction documents, including, among others, a Share Purchase Agreement, an Investors’ Rights Agreement, and amended and restated articles of association, through which Duppla will strengthen its financing capacity and accelerate the expansion of its “rent-to-own” model, while also reinforcing its residential income investment platform and advancing its expansion within the Colombian market.

Grupo Nutresa recently signed a share purchase agreement to acquire 100% of the shares of P.C.A. Productora y Comercializadora de Alimentos S.A.S., the company behind the iconic Colombian ice cream brand Mimo’s, from Grupo IGA. The acquisition is part of Nutresa’s strategic plan to strengthen its leadership in the ice cream and dessert segment in Colombia.

Pérez-Llorca Colombia is acting as legal advisors to Grupo Nutresa in this transaction, supporting the client throughout the negotiation and signing of the share purchase agreement. Our work included conducting legal due diligence, drafting and negotiating the transaction documents, and advising on regulatory and antitrust matters.

The closing of the transaction remains pending, subject to customary conditions precedent, including the authorization of the Superintendency of Industry and Commerce in connection with merger control clearance.

This acquisition will allow Nutresa to expand its footprint in the direct-to-consumer market, adding Mimo’s approximately 230 points of sale and industrial production capabilities to its existing portfolio.
