										<content:encoded><![CDATA[<p>Effective December 19, 2025, merger notifications filed in Mexico are subject to a new filing fee framework implemented by the National Antitrust Commission (CNA). The applicable fee is determined based on the Maximum Estimated Value (MEV) of the transaction in Mexico and must be paid upon filing, regardless of the complexity, duration, or outcome of the review process. The MEV is calculated by assessing various valuation parameters, including the transaction value and the Mexican assets or equity interests involved, and must reflect the highest resulting value.</p>
<p>This new framework has a direct impact on transaction structuring, timing, and regulatory strategy, making early MEV analysis a critical component of deal planning.</p>

<p><strong>Pérez-Llorca announced the promotion of Antonio De Lisi, Patricio Martínez and Enrique Muñoz as new partners in the Mexico City office</strong>, consolidating the firm’s sustained growth in the country and strengthening its capabilities in some of the most in-demand practices for local and international clients.</p>
<p>With more than 20 years of international and national experience, <a href="https://www.perezllorca.com/en-mx/lawyer/antonio-de-lisi/" target="_blank" rel="noopener"><strong>Antonio De Lisi</strong> </a>has led multidisciplinary teams in complex transactions, including project, structured, and corporate financing; infrastructure and energy project development; strategic alliances; and mergers and acquisitions. He regularly advises banks, funds, sponsors, and public and private companies on complex and large-scale operations, as well as project development, tenders, joint ventures and structured transactions in various segments of the energy sector, as well as providing ongoing regulatory support for strategic assets.</p>
<p><a href="https://www.perezllorca.com/en-mx/lawyer/patricio-martinez-osorio/" target="_blank" rel="noopener"><strong>Patricio Martínez</strong></a>, who also has over two decades of experience, has led Pérez-Llorca’s Antitrust and Data Protection, AI and Cybersecurity practices in Mexico for the past year and a half. He has advised global firms on complex cross-border mergers and acquisitions, with a special emphasis on merger control, as well as on investigations and comprehensive regulatory compliance projects. His work includes the incorporation of technological tools to optimise the review of operations and strengthen privacy and data management frameworks.</p>
<p><a href="https://www.perezllorca.com/en-mx/lawyer/enrique-munoz-guizar/" target="_blank" rel="noopener"><strong>Enrique Muñoz</strong></a>, with more than 20 years of experience in environmental, health and regulatory law, has worked for various industries, including chemicals, pharmaceuticals, food and beverages, energy, mining, tourism and health services. His practice includes advising and consulting on environmental impact, atmospheric emissions, hazardous waste, hazardous materials, and national waters, as well as managing authorisations, licences and permits before authorities such as SEMARNAT, COFEPRIS and ASEA, and advising on health regulations for products and services.</p>

<p>The promotion of the three new partners is part of the <strong>overall process of strengthening Pérez-Llorca’s talent pool</strong>. The firm has announced the promotion of <strong>12 new partners in Spain, Mexico and Colombia</strong>, consolidating its structure in key areas such as Corporate, Finance, Tax, Administrative, Competition and Regulatory. In addition, <strong>five counsels</strong> were also promoted in various jurisdictions.</p>
<p>These promotions are in addition to the growth recorded in Mexico during 2025, in which the firm added <strong>nine new partners</strong> as a result of seven strategic integrations and two internal promotions. This move reaffirms Pérez-Llorca’s priority to strengthen its presence in the country, expand its local capabilities and support multi-jurisdictional transactions in line with its international strategy.</p>
<p><strong>London Office</strong></p>
<p>After seven years at the helm of the London office, the first opened by Pérez-Llorca in foreign territory, Álvaro Ramírez de Haro will hand over the reins to José Luis Romeu, a partner who has been working there since the beginning of 2024.</p>
<p>Ramírez de Haro will return to Madrid, where he will continue to work closely with the London office through his work with major international funds and firms.</p>
<p>Likewise, Ander Valverde, a partner based in London since 2022, who has combined his responsibility for the Finance team in Spain with the development of the firm’s debt practice in London, will return to Spain in April 2026, where he will continue to coordinate the Finance practice in Madrid and remain linked to the London office through the firm’s clients in this key financial centre for this practice.</p>
<p>Pérez-Llorca’s London office has a team of more than 10 people which, alongside José Luis Romeu, includes partners Isabel Villa (Restructuring) and the recently appointed Melchor Álvarez de Mon (Corporate), who joins the team in the British capital to further bolster this location.</p>
<p>José Luis Romeu joined Pérez-Llorca in 2017 as a lawyer in the Corporate practice and made partner in January 2024. Specialising in commercial law, his career has a strong international flavour as, in addition to an LL.M. in International Business and Economic Law from Georgetown University, he worked in the firm’s London office in 2019 and 2020 and is also a Solicitor of England and Wales.</p>
