Against a backdrop marked by the upcoming review of the USMCA, regionalisation trends and global competition to attract capital, the Pérez-Llorca/IE Chair brought together investors, lawyers, bankers and specialists at the Metropolitan Club in New York to analyse the economic future of Mexico and Latin America.

The event was moderated by José Ignacio Rivero, a partner at Pérez-Llorca in New York, and featured José Antonio González Anaya, former Secretary of Finance and former Director General of Pemex and the Mexican Social Security Institute, and Gayle Allard, a professor at IE University and a specialist in competition and international investment.

The discussion took place before an audience comprising representatives from investment funds, financial institutions, international law firms and players in the US capital markets – precisely the kind of investors involved in financing strategic projects for Mexico and Latin America.

During the conversation, the participants agreed that the region has a unique opportunity to benefit from the restructuring of global supply chains and its close economic integration with the United States.

The experts noted that Mexico and Latin America are now economies deeply integrated into international trade, highlighting that Mexico’s trade volume is equivalent to around 90% of its GDP, a transformation driven by decades of economic liberalisation and by agreements such as NAFTA and, subsequently, the USMCA. In this context, they emphasised how important it is for Mexico to preserve and strengthen the trade agreement, the forthcoming review of which will be crucial to the region’s stability and competitiveness.

They also pointed out that, in order to fully realise this potential, progress will need to be made in areas such as infrastructure, energy, public finances and security, as well as strengthening collaboration between the public and private sectors to drive forward long-term projects.

On the subject of investment, José Ignacio Rivero emphasised that, even in a challenging global environment, Mexico and Latin America offer significant opportunities to attract capital and develop strategic projects. He emphasised that legal certainty is a key factor in long-term decision-making and highlighted the importance of strengthening collaboration between international investors, local partners and the authorities in order to promote projects that contribute to economic growth and infrastructure development in the region.

The session also covered opportunities in sectors such as infrastructure, energy, manufacturing and financial services, further establishing the Pérez-Llorca/IE Chair as a forum for dialogue on the issues that will shape the future of investment and growth in North America.

Pérez-Llorca today announced the appointment of Cristina Vergueiro as Senior International Counsel for the Lisbon office’s Corporate practice area. Vergueiro comes from one of the largest and most well-known private equity and infrastructure managers in Latin America, where she was Managing Director and General Counsel.

Throughout her career, she has been involved in all phases of the investment cycle: fund structuring, capital raising, investment and divestment transactions, as well as the monitoring and development of portfolio companies. Her experience includes the definition of governance, risk management and compliance models in sectors such as logistics, energy, transport and pharmaceuticals, in various Latin American markets, in addition to her activity in crisis management and arbitration. She was also a member of the board of directors of a number of portfolio companies.

Vergueiro holds a law degree from the University of São Paulo Law School and is a member of the Brazilian Bar Association.

Her arrival at the firm strengthens Pérez-Llorca’s capacity to support clients, both organisations and private clients, in cross-border transactions, contributing to the firm’s international scope, with a special focus on projects involving Portuguese-speaking and Latin American markets, especially Brazil.

(Asociación Mexicana de Instituciones Bursátiles, A.C.); (v) the Mexican Stock Exchange (Bolsa Mexicana de Valores, S.A.B. de C.V.); (vi) the Institutional Stock Exchange (Bolsa Institucional de Valores, S.A. de C.V.); and (vii) several brokerage houses, through which the decree proposal – that ultimately resulted in the Amendment – was structured, drafted and implemented.

In addition, our firm is currently working in the proposal of secondary provisions that will derive from such Amendment, jointly with the taskforce that spearheaded the Amendment.

The Amendment provides for, among others: (i) the creation of a new simplified program for the public offering of securities addressed to qualified and institutional investors; (ii) the promotion and facilitation of access by small and medium sized companies to the Mexican securities market; (iii) amendments to the framework of companies participating in the securities market; (iv) the creation of hedge funds (fondos de cobertura); (v) changes to regulations applicable to investment advisors (asesores en inversiones); and (vi) the obligation of financial regulators to issue secondary regulations regarding sustainable development and to strengthen gender equality.
