Miranda & Amado advised TSX-listed Aurania Resources Ltd. in the sale of 100% of the shares of its Peruvian wholly-owned subsidiary|Sociedad Minera Vicus Exploraciones S.A.C.|to Canadian miner Palamina Corp.

Sociedad Minera Vicus Exploraciones S.A.C. holds a total of 94 mining concessions across different regions of the Peruvian territory.

Under the share purchase agreement|Aurania will receive 350,000 common shares of Palamina and a 1% Net Smelter Return (“NSR”) royalty over certain mining claims located in Peru which are held by Vicus. Palamina has the option to buy back half of the NSR for $1,000,000 at any time.

Miranda & Amado|together with Gowling WLG – Toronto|assisted Zijin Mining Group Co.|LTD. (and its subsidiary Jinteg (Singapore) Mining PTE.|LTD.) in the due diligence and documentation of a share purchase agreement with Pan American Silver for the indirect acquisition of 100% shares in the Peruvian subsidiary holding the existing “La Arena” gold mine and the “La Arena II” copper project.

The consideration consists of an upfront USD 245 million payment|payable on closing|and a further USD 50 million payment contingent to the start of commercial production in “La Arena II”.

Separately|the right granted by La Arena S.A. to a 1.5% NSR royalty on gold will correspond to Pan American Silver.
