Our private equity practice has all of the above qualities and is one of the most active in the country. This is demonstrated by the fact that we have advised major national and international private equity funds on several of the largest and most complex transactions that have taken place in Spain in recent years. The lawyers of this practice are among the most experienced in the sector, which ensures we can always meet the client’s expectations. We adapt the work teams to the needs of each transaction and client, and we are accustomed to involving experts from other areas (regulatory, employment, tax, finance, litigation, competition etc.) in the team in order to cover all angles, add value to our advice and offer the client a well-rounded and high quality solution.

Our advice covers all phases, from investment to disinvestment. Specifically, we advise our clients from the presentation of first non-binding offers up to the negotiation and signing of the documents which are required to close the transaction, covering the due diligence process and the design and implementation of the structure of the transaction, as well as the incentive schemes for the management teams of the investee companies. We also accompany our clients in the stages which follow the investment. We advise them on the day-to-day management of their investments, the restructuring of their portfolios, refinancings and add-on acquisitions, among other matters. In addition, we advise our clients on the exit and disinvestment phase, including direct sales, competitive sales processes, listings and other forms of disinvestment (such as securities swaps, recapitalisations and secondary buy-outs between funds).
