<p>On 29 January 2026, the Court of Justice of the European Union (“<strong>CJEU</strong>”) delivered its judgment (the “<strong>Judgment</strong>”) in Case C-286/24 (Meliá Hotels International), which ruled on three preliminary questions referred by the Supreme Court of Portugal concerning the interpretation of Directive 2014/104/EU of the European Parliament and of the Council of 26 November 2014 on certain rules governing actions for damages under national law for infringements of the competition law provisions of the Member States and of the European Union (the “<strong>Directive</strong>”).</p>
<p>The request for a preliminary ruling was made in the context of proceedings that arose from European Commission (the “<strong>Commission</strong>”) Decision C(2020) 893 final, adopted in Case AT.40528-Meliá (Holiday Pricing) (the “<strong>Decision</strong>”).</p>

This package includes two proposals which seek to recalibrate the EU’s corporate sustainability obligations: (i) COM(2025) 80 final and (ii) COM(2025) 81 final. The most significant of these proposals, COM(2025) 81 final, seeks to amend three core instruments of the EU’s sustainability framework:</p>
<ul>
<li>the “Audit Directive” (Directive 2006/43/EC);</li>
<li>the “Accounting Directive” (Directive 2013/34/EU), as amended by the Corporate Sustainability Reporting Directive (Directive (EU) 2022/2464 or the “CSRD”); and</li>
<li>iii) the “Corporate Sustainability Due Diligence Directive” (Directive (EU) 2024/1760 or the “CSDDD”).</li>

The new measures, in addition to increasing controls to prevent the circumvention of sanctions that have already been imposed, focus on key sectors of the Russian economy such as energy, trade, transport and financial services. The new package of measures also seeks to further restrict the activity of the so-called “Russian shadow fleet” and vessels that contribute to Russia&#8217;s energy revenues.</p>
