In the context of Cemex’s global strategic reorganization, aimed at optimizing its asset portfolio, Cemex Colombia S.A. reached an agreement with Holcim Ltd. for the sale of a cement plant (Caracolito), a grinding mill (Santa Rosa), and a portfolio of ready-mix concrete, aggregates, mortar, and admixture plants for a purchase price of US$485 million,, positioning it as one of the most significant M&A transactions in Colombia’s construction materials sector in recent years. The transaction with Holcim is currently expected to close at the end of the year, subject to customary closing conditions, including regulatory approvals.
Pérez-Llorca acted as legal counsel to Cemex Colombia in the structuring and negotiation of the transaction. This included advising on a partial spin-off of Cemex, the negotiation of the share purchase agreement, and the preparation and negotiation of several ancillary agreements, including a transitional services agreement, various lease agreements, and energy supply contracts, among others.
