Grupo Nutresa recently signed a share purchase agreement to acquire 100% of the shares of P.C.A. Productora y Comercializadora de Alimentos S.A.S., the company behind the iconic Colombian ice cream brand Mimo’s, from Grupo IGA. The acquisition is part of Nutresa’s strategic plan to strengthen its leadership in the ice cream and dessert segment in Colombia.
Pérez-Llorca Colombia is acting as legal advisors to Grupo Nutresa in this transaction, supporting the client throughout the negotiation and signing of the share purchase agreement. Our work included conducting legal due diligence, drafting and negotiating the transaction documents, and advising on regulatory and antitrust matters.
The closing of the transaction remains pending, subject to customary conditions precedent, including the authorization of the Superintendency of Industry and Commerce in connection with merger control clearance.
This acquisition will allow Nutresa to expand its footprint in the direct-to-consumer market, adding Mimo’s approximately 230 points of sale and industrial production capabilities to its existing portfolio.
