Bill to reform the Federal Antitrust Law: The end of the COFECE and the introduction of lower notification thresholds and heavier fines

02/05/2025

A new bill to reform Mexico’s Federal Economic Competition Law could dramatically reshape the country’s competition regime, introducing structural changes, tougher penalties, and a new regulatory authority.

On April 24, 2025, the Mexican President submitted a far-reaching bill to Congress that would abolish the COFECE and establish the National Antitrust Commission (CNA). Key changes include lower thresholds for mandatory merger notifications, significantly higher fines for anticompetitive conduct, and expanded powers to investigate unnotified transactions. The reform also redesigns the immunity program and acknowledges the mitigating value of certified compliance programs. This initiative marks a paradigm shift in competition policy and will have immediate implications for ongoing transactions.

At Pérez-Llorca, we are closely monitoring the reform’s progress to support our clients in managing risk and adapting their strategies accordingly.
