Comprehensive legal advice to the selling shareholders in the sale of 100% of the shares Avista Colombia S.A.S. BIC to Estrategias Cibest S.A.S., a company within Grupo Cibest, the holding company of the Bancolombia Group. The mandate covered the full transaction lifecycle, including assisting the selling shareholders throughout the buyer’s legal due diligence process and advising on the structuring, negotiation, signing of the transactions documents and closing of the transaction. The deal also involved the satisfaction of several conditions precedent, including the filing of the simplified merger control notice with the Colombian Superintendence of Industry and Commerce (SIC), as well as the coordination of multiple corporate and contractual workstreams.
