Pérez-Llorca Round Table: The new employment contract for Managing Directors, Senior Management and Executive Directors: An end to the controversy?

After years of heated debate and numerous contradictory rulings from the Spanish civil and labour courts on the much disputed doctrine regarding whether a labour or commercial relationship exists, (doctrina del vínculo), the reform contained in Law 31/2014, of 3 December, on the improvement of corporate governance deals with, for example, the problematic legal framework of the provision of services of managing directors, senior management and executive directors within companies. In particular, this reform has established new obligations regarding the fundamental importance of having a contract with a managing director and/or the directors who hold an executive office, as well as with regard to the appointment and dismissal of directors which will undoubtedly have a clear and immediate impact on the daily running of our companies.

For this reason, on 10 March at 9.30am, Pérez-Llorca has organised a round table which will analyse and evaluate the content of this reform, its effects and the necessary steps and measures to be taken in order for companies to comply with the new legal framework.

The experts taking part in this debate will be: Andrea Lo Faso, Human Resources and Organisation Iberia of Endesa, Francisco León, Corporate Law Professor and Of Counsel at Pérez-Llorca; Daniel Cifuentes, Partner of Pérez-Llorca’s Labour Department and Luis Enrique Fernández Pallarés, Partner and head of Pérez-Llorca’s Labour Department.
